Trade Account Terms
DYTP Wholesale (company number [company number], VAT number [VAT number]), registered office [registered address], email [email protected].
1. Eligibility
1.1 A trade account with DYTP Wholesale (the Seller) is for businesses only: businesses buying goods for resale or for the purposes of their own trade, business or profession. Accounts are not opened for private customers.
1.2 The Seller supplies to delivery addresses in the United Kingdom. Delivery outside the UK mainland is by separate quotation, as set out in the Delivery Policy.
1.3 These terms govern the account itself. Every sale made on the account is governed by the Terms of Sale, which take priority if there is any conflict about a sale.
2. Application and approval
2.1 An application is made through the registration form on the Seller's website or by giving the same information to the Seller in writing.
2.2 The applicant must confirm the email address given by opening the link the Seller sends to it. The Seller does not review an application until the address is confirmed.
2.3 Every application is reviewed by a person. Approval is not automatic and there is no time limit within which the Seller must decide. The Seller may ask for further information, including trade references, before deciding.
2.4 The Seller may decline an application without giving a reason, and may close an approved account under clause 7.
2.5 The information given in an application must be accurate and complete. The account holder must tell the Seller in writing if its registered name, trading name, company number, VAT number, addresses or authorised contacts change.
2.6 Approval turns on the display of trade prices excluding VAT for the account and allows orders to be placed through the website. It does not by itself grant credit; credit is dealt with in clause 5.
3. Account users
3.1 An account may have more than one user. Each user has a personal sign-in and must not share it.
3.2 Passwords must be kept secret and must not be reused from another service. A user who believes a password is known to someone else must change it at once and tell the Seller.
3.3 The account holder is responsible for every order, instruction and change made through its users' sign-ins, and for making sure that only people it authorises hold one.
3.4 The account holder must tell the Seller when a user leaves the business so that the sign-in can be closed. Until then the Seller may treat orders from that sign-in as authorised.
3.5 The Seller may suspend or close an individual sign-in where it has reason to believe it is being misused, without closing the account.
4. Prices
4.1 Prices on the website are shown excluding VAT and only to signed-in accounts the Seller has approved. VAT is added at checkout and shown separately on the invoice.
4.2 The Seller may set a price tier for an account. Where a tier or a customer-specific price applies, the price shown to that account is the price for that account, and it is confidential to it.
4.3 Prices may change at any time until an order is accepted under the Terms of Sale. A price shown in the basket or at checkout is not a fixed price until the Seller sends the order confirmation.
4.4 Prices for lines the Seller does not hold in its own stock are confirmed by email before dispatch, and the account holder may cancel such a line if the confirmed price differs from the price shown when the order was placed.
5. Credit accounts
5.1 Credit is granted at the Seller's discretion. The Seller may carry out credit checks and ask for trade references before granting it.
5.2 Where credit is granted, the Seller sets a credit limit and payment terms for the account. Unless agreed otherwise in writing, invoices are payable in full within 30 days of the invoice date.
5.3 The credit limit applies to the total of unpaid invoices and orders in progress. An order that would take the account over its limit is held until the Seller has approved it, and the account holder is told that it is being held.
5.4 The Seller issues a statement of the account monthly to the email address held for the account.
5.5 The Seller may reduce or withdraw a credit limit at any time, including where an invoice is overdue, where the account's trading pattern changes materially, or where information from a credit reference agency changes. The account holder is told in writing, and orders already accepted are not affected.
5.6 Late payment is dealt with in the Terms of Sale, including interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Pay-on-order accounts
6.1 An account without credit pays on order. The Seller issues a pro-forma invoice showing the goods, the delivery charge and the VAT.
6.2 Goods are allocated to the order and dispatched or made ready for collection once cleared funds have been received. A pro-forma invoice is not a VAT invoice; the VAT invoice is issued with the goods.
6.3 No payment is taken through the website. Payment is by bank transfer to the account shown on the pro-forma invoice. The account holder must check payment details by telephone with a known contact if they differ from those on an earlier document.
7. Suspension and closure
7.1 The Seller may place an account on hold while any sum is overdue. An account on hold may still browse and order, but checkout offers payment by bank transfer against a pro-forma invoice only, and deliveries on credit are suspended.
7.2 The Seller may suspend or close an account where these terms or the Terms of Sale are broken, where the Seller has reason to believe the account is being used other than for a business, or where the account has placed no order for a long period.
7.3 The account holder may close the account at any time by writing to [email protected]. Any sum owed remains payable, and goods already dispatched are not affected.
7.4 On closure the sign-ins are disabled. Account and order records are kept for the periods set out in the Privacy Notice, because the Seller needs them for its accounting and tax records and for any claim.
8. Changes to these terms
8.1 The Seller may change these terms by publishing a new version with a new issue date on its website. The version in force when an order is accepted governs that order.
8.2 Where a change materially affects an account with credit, the Seller will tell the account holder by email before it takes effect.
9. Governing law and jurisdiction
9.1 These terms are governed by the law of England and Wales.
9.2 The courts of England and Wales have exclusive jurisdiction over any dispute arising from or connected with the account, although the Seller may bring proceedings to recover a debt in any court with jurisdiction over the account holder.
